1. About the Entity and Nature of Service

This digital platform is owned and operated by Rawhub LLP, a Limited Liability Partnership incorporated under the Limited Liability Partnership Act, 2008 (LLPIN: ACZ-5529), having its principal place of business at Lanka, District: Hojai, Assam – 782442, India. Rawhub LLP provides technology-enabled B2B wholesale marketplace facilitation, supplier discovery, catalog management, and embedded credit facilitation tools for independent regional merchants and authorized stockists.

2. Commercial B2B Nature (No Retail Consumer Transactions)

The platform operates strictly as a commercial Business-to-Business (B2B) ecosystem. Services, bulk catalogs, wholesale rate sheets, and logistics integrations are made available solely to verified retail store proprietors, kirana merchants, wholesale distributors, and commercial enterprises. Rawhub is not intended for retail consumer purchases (B2C) or end-user retail consumption.

4. Merchant Registration and Account Security

• Users must provide accurate, current, and verifiable statutory information, including GSTIN, PAN, shop location, business registration, and authorized mobile numbers during registration.
• Merchants are solely responsible for maintaining the confidentiality of their login credentials, one-time passwords (OTPs), and authenticated WhatsApp authorization links.
• Any commercial order or credit drawdown confirmed using the merchant’s authenticated account will be deemed an authorized, legally binding transaction.

5. Wholesale Pricing, Orders, and Fulfillment

• Wholesale prices, minimum order quantities (MOQs), and trade discount slabs displayed on catalogs are based on supplier verification and prevailing market rates. Prices are subject to revision prior to order confirmation.
• Once a wholesale order is confirmed and processed for transit through regional cross-dock nodes, procurement is non-cancellable except in cases of verified manufacturing defects or verifiable shipping transit loss.
• Rawhub acts as a marketplace facilitator connecting vetted distributors with retailers; title of goods passes directly from the seller to the purchasing merchant upon delivery acceptance.

6. Embedded Credit Repayment and Credit Bureau Reporting

When a merchant utilizes embedded trade credit (working capital / invoice financing) through partner NBFCs:

• The merchant agrees to fulfill all scheduled micro-installments or full repayment within the specified cycle (e.g., 14-day cycle) via approved NPCI e-NACH mandates, UPI Autopay, or direct gateway rails.
• Late payments or failure to service trade dues may lead to immediate suspension of purchasing privileges and will be reported to authorized credit rating agencies (CIBIL, CRIF, Experian) through the partner NBFC, impacting the merchant’s commercial and individual creditworthiness.

7. Intellectual Property Rights

All content, user interface designs, workflows, branding, trademarks, software code, and database architectures displayed on rawhub.in are the exclusive proprietary property of Rawhub LLP or licensed partners. Unauthorized reproduction, scraping, reverse engineering, or commercial redistribution of platform assets is strictly prohibited under Indian copyright and IP laws.

8. Third-Party Advertisements & Google AdSense

The platform may feature advertisements provided by Google AdSense or authorized third-party advertising networks. We do not endorse or assume liability for third-party products, services, or claims displayed through programmatic advertisements. Users interact with third-party advertiser links entirely at their own discretion and subject to those third parties' respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Rawhub LLP, its partners, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of shop profits, inventory spoilage, business interruption, or freight delays arising from natural occurrences, road blockades, or local disruptions. In all circumstances, Rawhub's total aggregate liability is limited strictly to the platform facilitation commission received for the disputed transaction.

10. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed, interpreted, and construed in accordance with the substantive laws of the Republic of India. In the event of any commercial claim, dispute, or difference arising out of or in connection with these Terms, the civil courts located in Hojai / Guwahati, Assam, India shall possess exclusive jurisdiction.
